Terms of Service for UIB Solutions (Pvt) Ltd.

These Terms of Service ("Terms") govern your use of the services provided by UIB Solutions (Pvt) Ltd. ("UIBS"), a digital marketing, branding, and promoting company located at Colombo 04. By using UIBS's services, you agree to abide by these Terms. Please read them carefully.

UIBS provides various digital marketing, branding, and promoting services, which may include but are not limited to:

1. Social media marketing: Managing social media accounts, creating and publishing content, engaging with users, and running advertising campaigns on social media platforms.
2. Search engine optimization (SEO): Optimizing websites to improve search engine rankings and visibility.
3. Pay-per-click advertising (PPC): Creating and managing online advertising campaigns, including Google Ads, to drive traffic and conversions.
4. Content marketing: Developing and distributing valuable and relevant content to attract and engage target audiences.
5. Branding and design: Creating and enhancing brand identity through logos, graphics, and other design elements.
6. Website development: Designing and developing websites tailored to clients' specific needs.

The specific services provided by UIBS will be detailed in the corresponding service agreement or proposal.

2. Client Responsibilities:

As a client of UIBS, you agree to:

1. Provide accurate and complete information about your business and objectives.
2. Cooperate with UIBS in a timely manner, providing necessary feedback and materials required for the provision of services.
3. Comply with applicable laws and regulations governing your business and the use of UIBS's services.
4. Pay the agreed-upon fees promptly for the services rendered by UIBS.

3. Intellectual Property:

All intellectual property rights, including copyrights, trademarks, and trade secrets, related to the services provided by UIBS remain the property of UIBS or its respective owners. UIBS grants you a limited, non-exclusive, non-transferable license to use any deliverables provided by UIBS solely for your business purposes.

4. Confidentiality:

UIBS agrees to keep confidential any proprietary or sensitive information provided by you, except as required by law or with your prior written consent.

5. Limitation of Liability:

UIBS will make reasonable efforts to provide high-quality services; however, UIBS will not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use its services.

6. Termination:

Either party may terminate the agreement with written notice. Upon termination, you agree to pay for any outstanding fees incurred for services provided up to the termination date.

7. Amendments:

UIBS may update or modify these Terms from time to time. Any significant changes will be communicated to you in advance. Continued use of UIBS's services after the changes have been implemented will constitute your acceptance of the modified Terms.

8. Governing Law::

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
